Patricia Lelei

Patricia is a real estate and finance lawyer with a wide experience in commercial transactions, securities and project finance, due diligence, commercial leasing and estate planning.

 

Patricia holds a bachelor’s degree in law from the University of Nairobi and a post-graduate diploma in law from the Kenya School of Law.

 

Patricia is highly regarded by her clients, who laud her technical expertise and experience workings of government registries and departments. Underpinning the high-quality legal services that she provides is her ability to understand client's needs and strategic objectives and to meet those objectives by providing balanced and pragmatic solutions

 

Some of the notable transactions that she has been involved in are:

 

  • Real Estate: represented clients in acquisitions and dispositions of property for residential, commercial and agricultural purposes, advising on the conversion and transition of titles to digital registers, advising on all routine conveyancing matters and rendering ancillary services such as change of user, subdivisions and amalgamations, replacement of lost/damaged title documents, reconstruction of lost registers;

 

  • Prime property purchase: represented a client in the purchase of property in high-end Shella/Lamu in a complex real estate transaction involving various houses sitting on various parcels of land with different tenures, including advising on the structuring of the transaction and negotiating the terms of the lease;

 

  • Commercial leasing: representing various developers in the leasing of residential and commercial real estate, such as the Goodman Tower (a high-end office property in Nairobi), including the negotiation of terms, drafting and registration of commercial lease agreements;

 

  • Project finance: represented an acquirer in an M&A transaction worth USD 11,500,000 in the registration and perfection of securities over its assets under a bank facility under which a local bank was financing the purchase of the shares in the target entity for the sum of USD 7.2 million;

 

  • Project finance: acting for Guaranty Trust Bank Limited in the lending of USD 36 million (approximately 3.6 billion) to a Pan-African borrower, including due diligence on the borrower, advising on the security structure, and preparation and perfection of the security documents;

 

  • Various local banks: representing various local banks in the preparation and registration of securities, including National Bank of Kenya Limited, KCB Bank Kenya Limited, Standard Chartered Bank of Kenya Limited, Equity Bank (Kenya) Limited, Family Bank and Stanbic Bank Limited;

 

  • Estate planning: advised a family in the structuring of a family estate, due diligence and negotiations and sale of agricultural land in Laikipia County valued at approximately USD 14,480,000 with a lease-back of a portion of the land for a life interest;
